Last updated: 26 October 2026

Acceptance of terms

These Terms and Conditions (“Terms”) apply to your use of omsai.solutions and to all services provided by OM SAI (“we”, “us” or “our”). By using the Website or engaging our services you agree to these Terms. Where a signed proposal, statement of work or service agreement exists, its specific terms will prevail over these Terms in the event of a conflict.

About OM SAI

OM SAI is a digital marketing agency registered in India with GSTIN 06BSKPT5991A1ZE and its office at Unit No. 109-115, 1st Floor, B Spectrum One, Gurgaon, Haryana – 122011.

Services

We provide digital marketing services including search engine optimisation, social media marketing, paid advertising management, content marketing, website design and development, email and WhatsApp marketing, branding and creative design, and online reputation management. The scope, deliverables, timelines and fees for each engagement are set out in a written proposal or statement of work agreed with you before work begins. Work outside the agreed scope will be quoted separately.

Client responsibilities

To enable us to deliver the services, you agree to:

  • Provide timely access to websites, advertising accounts, analytics, social media profiles and other assets required for the work.
  • Supply accurate business information, content, images and approvals within the agreed timelines.
  • Ensure that any materials you provide do not infringe third-party rights and comply with applicable laws and platform policies.
  • Review and approve deliverables promptly. Deliverables not rejected in writing within seven days of submission are deemed accepted.

Fees and payment

Fees are set out in your proposal or invoice and are exclusive of Goods and Services Tax (GST), which will be added at the applicable rate. Invoices are payable within the period stated on the invoice, and retainer fees are payable in advance each month. Advertising spend paid to platforms such as Google or Meta is separate from our fees and is either paid by you directly or invoiced at cost. We may suspend services where invoices remain unpaid after the due date.

Third-party platforms

Our services rely on third-party platforms such as Google, Meta, LinkedIn, YouTube, WhatsApp and hosting providers. These platforms are governed by their own terms and policies, which may change without notice. We are not responsible for platform outages, policy changes, account suspensions or changes to algorithms that affect results, although we will always work to minimise their impact.

Intellectual property

Upon full payment, ownership of the final deliverables created specifically for you (such as designs, content and website code) transfers to you. We retain ownership of our pre-existing tools, templates, processes and know-how. Unless you ask us in writing not to, we may reference you as a client and display non-confidential work in our portfolio.

No guarantee of results

Digital marketing outcomes depend on many factors outside our control, including competition, market conditions, platform policies and your own products, pricing and sales process. While we apply proven methods and work diligently towards agreed goals, we do not guarantee specific rankings, traffic, leads, sales or return on investment.

Confidentiality

Both parties agree to keep confidential any non-public business information shared during the engagement and to use it only for the purposes of the services. This obligation survives the end of the engagement.

Limitation of liability

To the fullest extent permitted by law, our total liability arising out of or in connection with the services in any twelve-month period is limited to the fees paid by you to us in that period. We are not liable for indirect, incidental or consequential losses, including loss of profit, revenue or data.

Termination

Either party may end a monthly retainer by giving thirty days written notice. Project engagements may be terminated by mutual agreement, with payment due for work completed up to the termination date. We may terminate immediately if you breach these Terms or fail to pay invoices when due.

Website use

You may not use the Website for any unlawful purpose, attempt to gain unauthorised access to it, or copy or reproduce its content without our written permission. All content on the Website, including text, graphics and logos, is owned by or licensed to OM SAI.

Governing law

These Terms are governed by the laws of India. Any dispute will be subject to the exclusive jurisdiction of the courts at Gurugram, Haryana.

Changes

We may revise these Terms from time to time. Continued use of the Website or our services after changes are published constitutes acceptance of the revised Terms.
